These conditions regulate the use, products, functions, apps, services, technologies and software offered, called: Doctors Galaxy, including its trademarks, marks, software, platform, products, services and any other related element except when specifically stated that apply any other conditions different from these ones.

Doctors Galaxy is an integrated digital platform for the Healthcare and Life sciences professionals.

Objective/Purpose:

Integration, transparency, improved communication among the participants and empowering the participants with better decision-making tools.

Participants:

Doctors - Hospitals - Patients - Health researchers - CROs - Psychologists, nutritionists, Nurses & Others - Pharma & device companies - Professors, Speakers, students of Healthcare domain - Health Educational Institutes and Universities - Public health agencies & Others.

Our services:

Our objective is to provide to medical professionals, medicine students, institutions related to the healthcare and life sciences and people/users of these services and entities interested, the possibility to create communities, relationships, interchanges, participations and connections, and for it, we offer the products and services described as follows:

We provide a personalized experience:

Your knowledge and experience are different from the rest of the people who use the platform. All the aspects are personalized: starting with the publications, stories, sponsored content, courses and other content that you see in the news section or in our video platform through the pages you follow and the rest of the functions you use.

We use the data we have, for example, the relative to the connections you make, the options and configuration adjustments you select, the type of content that you share, and the actions that you make with our products or outside them to personalize your experience, connecting you with the people and the organizations of your interest.

We help you to find: doctors, researchers, professors, pharmacies, pharmaceutical companies, hospitals, medicine schools, people and groups linked, companies and organizations related, and other entities of your interest, as well as connect you with them by the Products of Doctors Galaxy you use. In regard to the data we have, we offer you suggestions, to you and other people, as groups to link with, events to assist, pages to follow or to send messages, programs to watch and people or organizations that you may want to include in your contact list. The communities work better as stronger are the ties that link their members, groups and organizations of your interest.  

We Will provide you the tools you need to express your opinion and talk about the topics that are important to you:

In Doctors Galaxy, you may express yourself and communicate with colleagues, students, employees, collaborators, partners, providers and other people that is important to you in different ways. For example, you may share updates of your status, photos, videos and stories in the variety of products of Doctors Galaxy you use, and send messages to one or various persons, create events or groups and add content to your profile.

We help you to discover content, products and services that may be of your interest:

We show you announcements, offers and other patronaged content for you to discover the content, the products and services offered by the businesses and organizations that use Doctors Galaxy and its Products. Some of our subscribers diffuse the content of their products and services, and we design our services for the patronaged content that you watch is useful and relevant as everything that is shown on this platform.

In case of any inappropriate conduct, we reserve the right to take any measures we may consider pertinent, including among other to: erase the content, modify the content, block the content, block interconnections among users, exclude any user of the platform. This is independent from any legal actions that we may consider appropriate if it’s the case.

We participate in research and collaborate with other entities to improve our Products. Among other means, we analyze the data that we have with the purpose to understand how the people uses our Products.

Our Products help you to find professionals, groups, companies, organizations and other entities that are important for you, and contribute to connect to them. We design our systems to make your experience coherent and fluid

Other modules that are included but not limited:

1. Learning Management
   1. We will provide a Learning management system. Including courses offered by colleges, institutions and individuals in their own capacity.
   2. Any user will be able to create, share, discuss, provide and manage any content he may have
   3. Doctors Galaxy Platform may contain links to third party providers and to Content that is uploaded by organizations, including videos, images, descriptions, links, courses, classes, conferences and other similar Content. Doctors Galaxy Platform is not responsible or liable to these third parties sites, and you should review any terms of use when entering those sites or viewing their Content.
   4. Monetization of the courses are subject to the conditions specified according to their contracts with Doctors Galaxy.
   5. Any user uploading the courses is responsible for their content and copyright provisions that are applicable from time to time.
   6. Doctors Galaxy is not responsible for the content, quality or any other qualitative or quantitative parameter of the courses. The course publishers are solely responsible.
2. Surveys
   1. We will conduct surveys. Any user can initiate the survey and other users can participate. Users can participate anonymously or by revealing their identity. The result can be made public or even remain accessible only to the survey creator.
   2. Any user will be able to create, implement, open, analyze and manage any survey he may have created.
   3. If Doctors Galaxy managers decide to close any survey made by a user because it may be considered in violation of the policies for the platform, the user can not reopen it unless is authorized in writing by Doctors Galaxy managers.
3. Jobs:
   1. Doctors Galaxy has a limited module for the users to publish/search for jobs available in Life sciences and Healthcare domain. This module is helpful to the users/students looking for the jobs. As this module only complements our users to reach other users who are interested in the jobs of specific domains, Doctors Galaxy is not responsible for the accuracy of the publication nor the profile of the applicants. All the users are advised to make their own due diligence before contacting any user on this subject matter.
4. Clinical studies:
   1. Doctors Galaxy allows users to publish information about planned/ongoing or closed clinical studies for the wider benefit of its members. The publisher is solely responsible for the published information, data, results and enrollment process. Doctors Galaxy does not assume any accuracy of the published data.
5. Journal Management system:
   1. Doctors Galaxy allows its users to publish any article, upload any journal of the users who are associations/societies for the benefit of its members and other users of this platform.
   2. All the publishing users are solely responsible for their publications and we encourage all the members to mandatorily observe the dignity and copyright provisions that are in place before publishing any article or journal. WE STRONGLY ADVISE USERS TO AVOID PLAGARIASM AND FULL COMPLINACE WITH COPYRIGHT PROVISIONS.
   3. We would like to inform to all the users are Doctors Galaxy is not part of any indexed journals currently. As we grow, we try to obtain the necessary recognition to be part of the indexed journals if there is necessity from our members.
   4. Monetization of the Publications are subject to the conditions specified according to their contracts with Doctors Galaxy or as per the conditions that we specify from time to time.
   5. Doctors Galaxy is not responsible for the content, quality or any other qualitative or quantitative parameter of the publications. The publishers/authors are solely responsible.
6. Reward Point system:
   1. Doctors Galaxy offers Reward point system for various actions of the users like referring members, Publishing relevant and qualitative content for the wider benefit of its members. The weights of the point for each activity, accrued points and statement of points available, eligible spend for these points or monetization of these reward points will be informed to the users from time to time.

We offer access to our services from any place in the world:      

To operate our international service, we must store and distribute content and data in our data centers and systems in the whole world, including places outside your country of residence.

Our data policy and your privacy options.

To provide you these services, we must gather and use personal data. In the Policy of data that must be accepted to use our products, it is included detailed information about our practices.

Also, we recommend you to check the privacy options available in the configuration.

Your compromise with: Doctors Galaxy and our community:

We provide you and other people these services with the objective of achieving our purpose. In return, you must compromise with us as follows:

1. Who can use our platform.

We want our community to be a safe environment in which the people are responsible for their opinions and actions. Because of this reason, you must fulfill the following:

2. To use the same name, you use in your daily life.
3. Provide accurate information about yourself.
4. Create only one account and use your biography for personal purposes.
5. Do not share your password, not give Access to other people to your account, nor transfer your account without our permission.

We try our platform to be available to everyone interested, but you cannot use the platform, in the following cases:

1. You do not have the minimum legal age to use our products.
2. You have been condemned by a crime, regarding professional, cybernetic or sexual type.
3. We have blocked your account previously for infringing our conditions or policy.
4. The applicable law prohibits that you Access our products, services or software.

What can you do, and what can you share in our platform.

We want you to be able to express and share all the content that may be relevant, but without putting in danger the security and wellness of other people, neither to damage the integrity of our community. Because of this, you accept not to participate in the conduct that will be now be described, neither to help or support other people in such behavior:

-It is not permitted to use our products to make actions or share content in the following cases:

1. if infringe this conditions, contracts, or other conditions or policies.
2. if they are illegal, discriminatory or fraudulent.
3. If infringe or damage the rights of other persons.

-It is not permitted to upload virus or malicious codes, neither to make any activity that may disable, overcharge, or alter the right functioning of our products, neither to modify its appearance.

-It is not permitted to access data, or gather through automatized means, without our previous permission, nor try to access to them from this platform without the valid permission

We reserve the right to eliminate any content that you share in case that infringe these rules, as well as take measures related with your account (if corresponds) for any reason, for the reasons described below.  In the same way, we may disable your account in case you infringe repeatedly the rights of intellectual property or industrial property that belong to other people.

To contribute to the right working of the community, we recommend you, to report any content or behavior that you may consider that infringe your rights (including the industrial and intellectual rights) or our conditions and policy.

Permissions you grant to us.

To provide our services, we need you to grant us certain permits:

Permit to use content created and shared by you: The content created and shared in: Doctors Galaxy belong to you, and no disposition included in these conditions will nullify the rights that you have over it. You may freely share your content with whoever you want and where you want. Regardless, to provide our services, we must have certain permission from you.

Specifically, when you share, publish, or uploads content that is protected under intellectual property rights (as text, photos or video) in our platform, or in relation with them, you give us a world license, non-exclusive, transferable, with the right to sub license and exempt of payment for author rights to accommodate, use, distribute, modify, maintain, reproduce, show or communicate publicly and translate your content, as well as to create derived content (in accordance with your privacy configuration and the app). In other words, if you share any information in our platform, you are giving us permission to store it, copy it and share it with others (in accordance with your configuration), as service providers that help us to provide our services.

It is the responsibility of the users to comply with the copyright provisions when sharing the content from other sources on this platform.

You may eliminate the content or your account in any moment, to finish this license, in any case, you must know that, for technical reasons, the content that you eliminate may exist in the platform in security copies during a limited time, even when the other users may not see it. Also, the content eliminated may still be visible if you have share it with other people and they have not erased it.

Permit to use your name, your profile photo and information about the actions you may make in sponsored content.

You give us permission to use your name, your profile photo and information about the actions you make in our platform together with sponsored content, offers and other patronaged content that we show in our products or related to them without obtaining any type of compensation. We may show to your friends that you are interested in an event promoted or that you like a page created by a trademark that pays us to show their sponsored content in our platform. These types of sponsored content will only be shown to the people that have your permission to watch the actions you make in our platform. You may obtain further information about the configuration and the announcements preferences.

Permission to update the software that you use or download.

If you download our software, you grant to us a permit to download and install improved versions, with updates, and additional functions in order to continue with the improvement, perfectionism and development.

 Limitations to the use of our intellectual property.

We reserve all the rights of protected content by intellectual or industrial property rights (of our property) that we provide in our products (as images, designs, videos, or sound that we offer and you may add to the content that you create in: Doctors Galaxy). You will keep the intellectual or industrial property rights related to your content. You only can use our content with copyright or our trademarks or similar according with the established in our norms of use of trademarks, or obtaining our writing consent. You must obtain our permission in writing or have one in regard to an open code to modify, decompile, or try to extract in any other way the source code, as well as create derivative works based on it.

Update of the Conditions

We work continuously to perfectionate our services and develop new functions in order to provide you and our community better products. By this reason is possible that we may update these conditions every certain time to reflect with precision our services and practices. Unless the law provides otherwise, we will send you a notification before we modify these conditions for you to check the changes before they are made. If you continue to use our products, once the changes are made, that will mean that you accept the modifications. 

Even when we expect that you keep using our products, if you are not in agreement with our updated conditions and you do not want to keep being part of our platform, you may eliminate your account at any time.

Suspension or cancellation of the account.

We want Doctors Galaxy to be a space where the people feel comfortable and secure to say what they think and share opinions and ideas.

If we determine that you infringe our conditions or policies, we may take actions in regard to your account, including the suspension to the access or cancel, to protect our community and the services we provide. Also, we may suspend or cancel your account if you create a risk or legal exposition in regard to us, or if the law requires us to do it. When it corresponds, we will notify you if these measures have been taken in your account the next time you access to it

If you eliminate your account or we cancel it, the agreements established by these conditions will not be applicable and will not be reimbursed for any reason the amount paid for the subscription.

Limitation to the responsibility

We make an effort to provide the best possible products and establish clear norms for all the people that use them. Regardless, our products are provided “as is”, so we cannot guarantee that will always be safe, that will never have errors neither will work without interruptions, delays or imperfections. In the extent the law allows it, we EXCLUDE OURSELVES FROM ANY RESPONSIBILTY, IT MAY EXPLICIT OR IMPLICIT, INCLUDING ALL THE RESPONSIBILITIES IMPLICIT OF COMMERCIALIZATION, ADAPTATION TO A CONCRETE USE, TITLE AND NO INFRACTION. We do not have any control nor influence over what other people say or do. Also, we are not responsible for their behavior or actions, inside or outside the internet, neither the content they share, including any that may be offensive, inappropriate, obscene, illegal or questionable. 

We cannot predict if it may arise any problem with our products. As a consequence, our responsibility  will be limited to the maximum permitted by the applicable law, and in any circumstance will assume responsibility for the loss of gains, income, information or data, neither for damages derived, special, indirect, exemplary, punitive or eventual that arise as a consequence of these conditions or the products of Doctors Galaxy, or related to them, including the case in which we may been warned of the possibility of those damages to happen.

Conflicts

We try to establish clear rules to reduce (and if possible avoid) the conflicts between you and us. Regardless, if any arises, is useful to know in advance where it can be resolved, and which laws apply.

If you are a consumer, the laws of the country where you reside will apply under any claim, cause or dispute that you may initiate against us and emerges as a consequence of these conditions. As well, you may resolve the claim in any tribunal that is competent in the country that has jurisdiction. In any other case, you accept that will be resolved exclusively in the competent court to our address in Mexico City. 

Payments.

If you acquire any of our paid services, you accept to pay the applicable rates and taxes and fulfill all the specific additional terms linked to these pay services. If there is non-payment of such rates it may happen that the services are finalized. Also, you accept that:

1. Your purchase may be subject to exchange commissions or price differences in function to your location (example exchange rates).
2. We may store and continue to utilize your payment method (as your credit card) for billing purposes, including even after been expired, to avoid the interruption of the services and use it to pay other services that you may acquire. (We would use third party payment gateways like Stripe, Paypal etc to process the payments).
3. If you acquire a subscription, it will be charged automatically to your payment method at the beginning of each period of subscription the rates and taxes applicable to such period. To avoid future charges, cancel the subscription before the renovation date.
4. All your purchases of services are final and non-reimbursable.
5. We may calculate the taxes applicable in regard to the billing information provided at the moment of the purchase. You may obtain a copy of your Bill by your account configuration.

To share information.

Our services allow to send messages and share information in many ways, as your profile, presentations, links to news articles, job positions announcements, messages, e-mails and blogs. The information and the content shared or published may be visible for members, visitors or other people (including outside the service). When there is the possibility to establish a configuration, we will respect the options you may select about who can see your content or information (for example, the content of messages sent to receivers, share content only with the contacts of Doctors Galaxy, restrict the visibility of your profile in the search engines, or opt for not notify to the other members that your profile in Doctors Galaxy has been updated). For activities of search of a job, the configuration by default is to not notify to your contacts net or public. For this reason if your request a job trough our services or if you decide to mention that you are interested in a job position, our configuration by default is to share it only with the announcer of the job position. 

We are not obligated to publish information or contents in our service and we may take them out at our entire discretion, with or without previous notice,

Availability of the Services.

We may change or take away any of our services, we cannot guarantee that we will store or will continue showing the information or content that you have published.

Doctors Galaxy is not a storage service. You accept that we do not have the obligation to store, keep, or provide a copy of a content or information facilitated by you or other people, except in the case that the law request it as is mentioned in our Privacy Notice.

Permitted Conducts. You accept that you are going to:

1. Fulfill all the applicable laws, including, among others the privacy laws, the intellectual property laws, the anti-spam laws, the export control laws, and the laws in taxes and contributions as well as any other legal requirement.
2. Provide us with accurate information and keep it updated.
3. Use your real name in your profile.
4. Use the services in a professional way.

Prohibited Conducts. You accept that you are not going to:

1. Create a false identity in Doctors Galaxy, falsify your identity, create a member profile for somebody is not you (physical person), nor use the account of somebody else.
2. Develop, support, or use programs, devices, scripts, robots or any other mean or process (including crawlers, surf plugins and complements, or any type of technology) to commit plagiarism (scrape) the Services or copy in any other way profiles or any other data from the services.
3. Avoid any security functionality or navigate away any Access control in the limits of use of the service (as the limits in the searches of key words or profile view).
4. Copy, use, disclose or distribute any information obtained from the services, either in a direct way or through third parties (as search engines), without the consent of Doctors Galaxy/Octane info services SA de CV
5. Reveal information that you do not have the right to share (as confidential information of your company, or third parties, including your company).
6. Infringe intellectual property rights of third parties, such as: copyrights, patents, trademarks, commercial secrets or any other intellectual property right.
7. Infringe intellectual property or any other rights, including, without limitation, (i) copy or distribute our learning videos or other materials; or (ii) copy or distribute our technology, except, it has been circulated with open source licenses; (iii) use the term: “Doctors Galaxy” or our emblems in any commercial name, e-mail or URL.
8. Publish anything that contains software virus, worms or any other malicious code.
9. Use reverse engineering, decompile, disarm, decipher or in any other way try to obtain the source code of the services or any related technology that is not open source code.
10. Give the impression that you are associated or endorsed by: “Doctors Galaxy” without our express consent.
11. Rent, lend, commercialize sell/resale or obtain any other type of benefit from the services or related date, neither to access to them without the consent of “Doctors Galaxy”.
12. Establish links to our services for any other reason than to promote your profile or a group in our service, without the consent of: “Doctors Galaxy”.
13. Use bots or any other automatic means to Access to the services, to add, download contacts or send or redirect messages.
14. Control the availability, performance or functioning of the services with competitive purposes.
15. To practice framing or mirroring or simulate in any other way the appearance or function of the services.
16. Overlap or modify in any way the services or its appearance, neither insert elements in the services, or eliminate, cover, or dissimulate announcements included in the services.
17. Interfere in the functioning or load of the services in any non-reasonable way, including among others: spam, refuse service attacks, virus or game algorithms.

Others.

1. These conditions are the total agreement between you and Doctors Galaxy in regard to the use of our products and they prevail over any previous agreement.
2. Some of the products we offer are also regulated by complementary conditions. If you use any of those products, you will have access to the complementary conditions, that will be part of the agreement established wit you. For example, if you access to our products or use them for commercial or corporate way, like buy announcements, sell products, develop apps, manage a group or page for your company or use our measurement services, you must accept our commercial conditions.
3. If you determine that any part of these conditions is/are not valid, the rest of the conditions will still be applicable. The non-application of any of these conditions from us does not imply a complete renouncement. Any modification or exception to these conditions must be done in writing and have our signature.
4. You will not transfer your rights or obligations in regard of these conditions to any third party without our consent.
5. These conditions does not confer beneficiary rights to any third party. All our rights and obligations according to these conditions are freely assigned from us in relation with any merger, acquisition or sell of assets or any form of corporate restructuring, or by reason of the law or any other way.
6. We inform you that it may happen that we may change the user name of your account in certain circumstances (example if other person claims it or it does not have relationship with the name you use in your ordinary life).
7. We will always value your comments and any other suggestion about our products and services. Regardless we inform you that we may use them without restriction nor any obligation to offer you any compensation, as well we do not have the obligation to consider them confidential.
8. We reserve all the rights that we have not given in an express way.
